Corporations are formed when a document called the “articles
of incorporation” (the “articles”) is filed with
the Pennsylvania Department of State. In general, the articles
contain information pertaining to the name and address of the
corporation and the incorporators (those who sign the articles), and
the corporation’s term of existence. In the case of a
non-profit corporation such as Penn, the articles must contain, among
other things, a statement that the corporation does not contemplate
pecuniary gain or profit.
Corporations also have “bylaws” which are written
rules adopted at the first meeting of the Board of Trustees. They
control the governance and management of the corporation. The bylaws
cannot be inconsistent with either the articles or the law. The
bylaws can later be amended or repealed.
For federal tax purposes, an organization is exempt from taxation
if it is organized and operated exclusively for religious,
charitable, scientific, public safety, literary, educational,
prevention of cruelty to children or animals, and/or to develop
national or international sports. Social security tax is also
currently optional although 80 percent of the organizations elect to
participate.
